Terms of use of the trading platform You-Trade

This Terms and Conditions (hereinafter – "Terms”), along with "You-Trade Global Pte Ltd”, Singapore, with a registered address at 91 Kellock Road #06-02, Melrose Park, Singapore 248903, (hereinafter – "You-Trade”, "we”, "us”, "our”), Privacy Policy, governs your use of the Product and Services.

Terms and Definitions

1. In these Rules, unless the context otherwise requires, the following terms have the following meanings and are an integral part of them:

Agreement - 

Buyer, you, your - an individual or legal entity that intends to order or purchase or ordering, acquiring a product (work, service) or using a product (result of work, service) solely for business, personal, family, home, and other needs.

Delivery of Products "to the door" - delivery of the Products to the address specified by the Buyer, different from the addresses of the Pickup Points.

Loyal Customer Discount - a discount provided to the Buyer on certain conditions established by the online store.

Order - the implementation by the Buyer of actions aimed at concluding an Agreement for the provision of services for the delivery of the Products, as well as an Agreement for the sale of the relevant Products with You-Trade, by placing an order for these services and Products in the Online Store.

Online Store - Web site https://you-trade.co and You-Trade mobile application, which is a service that provides access to information about Product intended for potential Buyers (consumers), through which You-Trade sells Products. Within the framework of this Agreement, the concepts of the Internet store and the Store, as well as the Internet address https://you-trade.co and derivatives of you-trade.co are equivalent and are interpreted authentically, in the context of the offer.

Product - the subject of the Agreement of sale concluded between the Buyer and the Seller, as well as the list of assortment items presented in the official online store.

Personal Area - a personal section of the Online Store that is not accessible to third parties, which serves for the purpose of placing Orders and processing Services, as well as receiving special offers in accordance with Public Offer, access to which is carried out after registration by entering the Buyer's authentication data.

Public Offer -the Products of the Seller in the Online Store are available to purchase.

Point of issue of orders - the premises where Orders are issued to Buyers who have indicated the address of the relevant Order Pickup Point as the place of delivery, or the Buyers hand over the returned Products for delivery to You-Trade.

Promotional Discount - a discount that is provided for a specific Product or Service. The amount of the discount is indicated on the Product/Service page. The price of the Products is indicated taking into account the promotional discount.

Seller, you, your — "You-Trade Global Pte Ltd”, Singapore, with a registered address at 91 Kellock Road #06-02, Melrose Park, Singapore 248903 and all related and affiliated parties and legal entities.

Sale rules - Rules for the sale of Products in the Online Store "You-Trade" published in the "Rules of Sale" section, a direct link to the item: https://you-trade.co/services/sale.

Services - delivery services provided by You-Trade to the Buyer in relation to the Products purchased by the Buyer.

Eligibility

1. By agreeing to these Terms, you represent and warrant to us: 

1. You are at least eighteen (18) years old; all users under this age must obtain parental consent to use our Service.
2. You have not previously been suspended or removed from our Services and the Website.

Licence grant to us

1. By providing information (hereinafter – "Files”) through the Product, the Website or via other electronic communications, you approve our processing of your Files as described in this Terms and Private Policy.
2. These Files can automatically be downloaded from your end by the Website’s Cookies using the Website and our Service.
3. We guarantee that all Files will be used only for data processing purposes by the Product, and any third party not related to us will have access to your Files without your additional direct permission.

Termination of use, discontinuation and modification/upgrading of the Online Store

1. We have the right to modify/upgrade or discontinue the Online Store and our website at any time (including, without limitation, by limiting or discontinuing certain features) without notice to you.
2. We are not liable for any change to the Online Store or any suspension or termination of your access to or use of the Online Store.
3. We have the right to restrict your access immediately, without previous notification and in any way, we deem appropriate, to the Online Store if we detect any violations from your end. In this case, you do not have the right to refund your funds or restore access.
4. We have the right to restrict your access to the Online Store immediately without previous notice if any unapproved modifications to the Online Store are detected from your side.

Third-Party’s links

1. The Online Store’s website may contain links to third-party web sources. Such linked websites are not under our control, and we are not responsible for their content.
2. We have the right to cooperate with third parties and provide your personal data to third parties without written permission from your side who used/clicked the third party’s link on the website of the Online Store.

Ownership; Proprietary Rights of the You-Trade

1. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements or files of the Product (hereinafter – "the Materials”) provided by us are protected by all relevant intellectual property and proprietary rights and applicable laws. 
2. All Materials contained within the Online Store are the property of You-Trade or its third-party licensors.
3. If the Online Store contains any materials, interfaces, logos, designs, products, or something else that is not the intellectual property of the You-Trade and You-Trade doesn’t have licenses for using it, the licensor has the right to request to delete its intellectual property from the website of the Online Store according to the procedures defined by Directive (EU) 2019/790 of the European Parliament and of the Council of 17 April 2019 on copyright and related rights in the Digital Single Market and amending Directives 96/9/EC (hereinafter – "EUCD”).
4. We do not claim to be the owners or representatives of the trademarks, brands and intellectual properties of other sides and remain the property of the original copyright owners.
5. We reserve all rights to the Materials not granted expressly in this Terms.

General Provisions

1. Using the Online Store, the Buyer agrees to the terms of this Public Offer.
2. This Offer is an official offer of "You-Trade Eurasia Ltd" to any individual or legal entity with legal capacity and the necessary authority to enter into with "You-Trade Eurasia Ltd” the Agreement for the sale of the Products on the terms specified in this offer and contains all the essential terms of the Agreement.
3. Relations in the field of consumer rights protection are regulated by the legislation of the applicable jurisdiction where the contract is concluded.
4. The online store provides the Buyer with a free opportunity to search for information about the Products or Services, get acquainted with You-Trade Product offers, receive (including search results) Product offers and information, and other functionalities.
5. You-Trade has the right to independently and without notice to the Buyer select reviews for publication, including:
• leave feedback on the Products/Services posted on the Website of the Online Store; rate the Products/Services when using the Online Store;
• along with the Buyer's review, his name indicated by him in the Personal Account of the Online Store will be published;
• do not publish reviews, the content of which is not related to the subject of the online store, making purchases on it;
• do not publish reviews, the content of which does not relate to the actual experience of using the relevant product;
• do not publish reviews that contain profanity, or offensive statements, including photographs and images that are ethically unacceptable for publication;
• do not publish reviews, comments containing links to other websites, or Personal Data of third parties;
• delete a published review at any time;
• independently determine the period during which reviews are considered relevant and for which they are published on the Online Store's website.
6. The Buyer agrees that the messages and materials posted by him on the Website of the Online Store can be used by You-Trade, including in other You-Trade services and applications, in advertising or marketing materials posted on You-Trade resources on the Internet, as well as on other resources and sites on the Internet, to attract the attention of other consumers to the Online Store as a whole or to Products and Services, as indicating the author of the message or material (the author's name will be the name of the Buyer, which he indicated during registration or in the settings of his data in the Personal Account), and without it, without the obligation to provide reports on the use of such messages and materials, without the need to obtain special permission from the Buyer and without paying royalties, throughout the world without a time limit, with the right of You-Trade to grant the specified rights of use of such messages and materials to third parties.
7. The Buyer agrees that the reviews left by the Buyer and the ratings set by the Buyer can be published and used by You-Trade on the website of the Online Store or third-party websites without the Buyer's additional consent. At the same time, the reviews and the images attached to them are published and used "as is" to preserve the author's grammar and punctuation under the name of the Buyer specified in the Personal Account. The Buyer is responsible for the accuracy of the information in the reviews the Buyer left.
8. We have the right to propose a contract for you from our affiliated or related legal entity or party in your jurisdiction.

Registration on the website

1. Only registered Buyers can place an Order on the Online Store's website, while the Buyer has the right to register on the website only 1 (one) time, i.e. can have only one Personal Account.
2. When registering in the Online Store, as well as during its further use, the Buyer provides You-Trade with his registration data (including personal data), including, but not limited to: company name, full name, phone number, e-mail address, location address, gender, date of birth, information about the parameters of the figure (clothing size), details of electronic means of payment (number, expiration date, CVV/CVC code ), EDS, etc.
3. You-Trade is not responsible for the accuracy and correctness of the information provided by the Buyer during registration.
4. The Buyer registered on the Online Store's website receives individual identification by entering an SMS with an access code sent by You-Trade to the contact number specified in the Personal Account. Individual identification of the Buyer allows the avoidance of unauthorised actions of third parties on behalf of the Buyer and provides access to additional services. The transfer of the access code by the Buyer to third parties is prohibited, and the access code is confidential information.
5. The Buyer is responsible for all possible negative consequences in case of transfer of the access code, as well as the credentials of the Personal Account to third parties.
6. To use our Services and our Online Store, you must fill out User Registration Declaration Form online on our Website. After uploading, our team will review your application and approve or reject you from using our Services and the Online Store within 5 (five) business days.

The subject of the Agreement

1. The Online Store is intended for selling You-Trade Products / Services and You-Trade services for delivering these Products to the Buyers.
2. The Seller transfers the Products and provides delivery services, and the Buyer accepts and pays for the Products/Services on the terms of this Offer in the Online Store.
3. In turn, You-Trade undertakes, within the time agreed by the Parties, to transfer to the Buyer the ordered, and the Buyer undertakes to pay for it in full in accordance with the cost of the Products at the time the Buyer places the Order.
4. Ownership of the Ordered Products passes to the Buyer from the moment the Products are transferred to the Buyer, and the latter pays the total cost of the Products. The risk of accidental loss or damage to the Products passes to the Buyer from the moment of transfer the Products to the shipping provider.
5. An integral condition for placing an Order on the Online Store's website is the Buyer's conclusion with You-Trade of an Agreement to provide delivery services for the Products on the Online Store's website.

The moment of conclusion of the Agreement

1. The text of this Agreement is a public offer.
2. The acceptance of this Offer is the registration by the Buyer of an order for the Products in accordance with the terms of the Offer.
3. The Agreement concluded based on the Buyer's acceptance of the Offer is an accession Agreement to which the Buyer joins without any exceptions and/or reservations.
4. The fact of placing an order by the Buyer is an unconditional fact of acceptance by the Buyer of the terms of this Agreement. The Buyer who purchased the Products in the Online Store (placed an order for the Products) is considered a person who has entered into a relationship with the Seller on the terms of this Agreement.

Placing an order on the website of the Online Store

1. Before placing the Order, the Buyer must comply with all the conditions for providing You-Trade Services and purchasing Products on the Online Store's website. At the same time, apparent errors, including typographical errors, made in the description of the Products or the Service are not legally binding.
2. Placing an Order on the Marketplace means that the Buyer agrees to all the essential conditions for providing You-Trade services for delivering Products and/or the essential terms for selling You-Trade Products.
3. The essential terms of the Agreement for the sale of the Products concluded by the Buyer, as well as the Agreement for the provision of delivery services, are indicated in the description of the Products published on the website of the Online Store provided in the form of placing an Order, as well as in this Public Offer.
4. By placing an Order, the Buyer agrees that You-Trade may entrust the execution of the Agreement to a third party, remaining responsible for its execution to the Buyer.
5. The Buyer confirms the agreement that:
• registration data (including personal data) are provided by the Buyer voluntarily;
• registration data (including personal data) are transmitted in electronic form via open communication channels of the Internet network;
• registration data (including personal data) is transferred to You-Trade for the purposes specified in this Public Offer and may be transferred to third parties for the same purposes;
• registration data (including personal data) can be used by You-Trade to promote the Products and Services by making direct contact with the Buyer using communication channels;
• registration data (including personal data) can be used by You-Trade to send advertising and information to the Buyer over telecommunication networks, including via the Internet, in accordance with the this Terms and applicable law of each jurisdiction.
• for the purpose of additional protection against fraudulent activities, the registration data specified by the Buyer (including personal data) may be transferred to the bank that carries out transactions for paying for Orders placed on the website of the Online Store;
• the consent given by the Buyer to process his registration data (including personal data) is unlimited and can be revoked by the Buyer or his legal representative by submitting a written application submitted by You-Trade.
• By continuing to use the Internet store, the Buyer agrees to the transfer of personal, registration data and data on previously placed orders from us to our affiliates and related parties and/or legal entities.
6. By placing an Order, the Buyer confirms that:
• fully familiarised with the provisions of this Offer;
• fully understands this Offer, as well as the subject and conditions of the Agreement, concluded with You-Trade for the provision of Services for the delivery of Products, as well as the Agreement for the sale of Products with You-Trade;
• fully understands the meaning and consequences of its actions in relation to the conclusion and execution of the agreement concluded with You-Trade for the provision of Services for the delivery of Products, as well as the Agreement for the sale of Products with You-Trade.
7. By placing an order on the website of the Online Store, the Buyer agrees to receive: (a) emails/push notifications that You-Trade may send to the Buyer; (b) messages (SMS) to the phone number specified by the Buyer as well as (c) a call with a proposal to evaluate the quality of the Online Store to the phone number specified by the Buyer.
8. You-Trade has the right to block the Buyer's ability to place an Order in case of repeated cancellation of the Orders made by the Buyer and in case of violation by the Buyer of this Public Offer.
9. The Products included in the list are not subject to exchange and return.

Price and payments

1. Mutual settlements with the Buyer for the Products purchased by him on the website of the Online Store are carried out by You-Trade on its own behalf.
2. The prices for the Products are determined by the Sellers, and the prices for the delivery service are determined by You-Trade unilaterally and indisputably and are indicated on the website of the Online Store.
3. The price of the Products is indicated in USD or tenge and includes value-added tax.
4. The final Price of the Products is determined by the successive action of discounts on the Price of the Products in the following order:
• promotional discount
• Loyal Customer Discount
5. You can use the Loyal Customer Discount only through your Personal Account. To do this, you must place orders by logging into the website of the Online Store under the credentials specified in the profile of your Personal Account. The Regular Customer discount is tied to a specific Personal Account because calculated based on purchases made through it. In case of re-registration on the site, a regular customer's purchase history and discount are not transferred from the old Personal Account to the new one. Order statistics in the new Personal Account are kept from scratch. You can use the discount only through the Personal Account in which it is generated.
6. The Buyer placing an Order on the website of the Online Store is allowed to choose the payment option in accordance with the methods provided on the website.
7. When choosing payment upon receipt using a bank card or other available services that allow you to pay for orders in the specified way, placed on the website of the Online Store, in case of involuntary (automatic) cancellation of such a payment or the absence of debiting funds from the consumer's account in favour of You-Trade in the amount of the cost of the order or part thereof due to a technical failure and (or) other unforeseen error, the Buyer grants the right to You-Trade to take the necessary actions aimed at the execution by the buyer of paying for the order without additional notice, according to the available payment data, including the payment data previously used by the Buyer, but removed by him at the time of the formation of debt for payment for the Products or/and Services. 
8. The Buyer is aware that the above actions on the part of the Website Owner and the Online Store are carried out in the Buyer's interests and are aimed at implementing the Buyer's will as a party to this Agreement. 
9. The Buyer, agreeing to write off the resulting debt to the Owner of the Online Store, understands that the processing of personal data deleted by him (data on means of payment) by the Owner of the Online Store will continue in the interests of the client and for the purposes reflected in this Public Offer "You - Trade”, and for the purposes provided for by the current legislation on the protection of personal data. At the same time, deleting a bank card from the Buyer's personal account is not a withdrawal of consent to processing bank card data.
10. The Online Store does not use cash payments with consumers in its activities.
11. You have the right to make a payment with the following methods:
    
    • Payment via credit or debit card (VISA, MasterCard, UP). 
    • Via Internet third-parties payment providers (PayPal, Stripe).
    • Bank wire transfer.
      
      

Rights and obligations of the parties

1. You-Trade undertakes:
1. From the moment of conclusion of this Agreement, fully ensure all obligations to the Buyer in accordance with the terms of this Agreement and current legislation. The Seller reserves the right to default on obligations under the Agreement in the event of force majeure circumstances specified in clause 9 of this Agreement.
2. Process the personal data of the Buyer in the manner prescribed by the You-Trade Privacy Policy regarding the organisation of processing and ensuring the security of personal data.
3. If the purpose of processing the Buyer's personal data is achieved, You-Trade undertakes to stop processing personal data or ensure its termination (if the processing of personal data is carried out by another person acting on behalf of You-Trade) and destroy personal data or ensure their destruction (if the processing of personal data is carried out by another person acting on behalf of You-Trade) within a period not exceeding thirty days from the date of achievement of the purpose of processing personal data, unless otherwise provided by the Agreement to which the Buyer is a party, beneficiary or guarantor, other Agreement between You-Trade and Buyer.
4. If the Buyer withdraws consent to the processing of his personal data, You-Trade undertakes to stop processing them or ensure the termination of such processing (if the processing of personal data is carried out by another person acting on behalf of You-Trade), and if the storage of personal data is no longer required to process personal data, destroy personal data or ensure their destruction (if the processing of personal data is carried out by another person acting on behalf of You-Trade) within a period not exceeding thirty days from the date of receipt of the said withdrawal, unless otherwise provided by the Agreement to which, the beneficiary or guarantor of which is the Buyer.
2. You-Trade has the right:
1. Change this Agreement, the Prices for the Products and the Tariffs for related services, and the methods and terms of payment and delivery of the Products unilaterally by placing them on the Online Store's online page address https://you-trade.co/kz. All changes come into force immediately after publication and are considered brought to the Buyer's attention from the moment of publication.
2. Record telephone conversations with the Buyer. In accordance with the applicable legislation of your jurisdiction and our Privacy Policy, You-Trade undertakes: to prevent attempts of unauthorised access to information and/or transfer it to persons not directly related to the execution of Orders to detect and stop such data.
3. Without the Buyer's consent, transfer its rights and obligations to fulfil obligations to the Buyer to third parties.
4. You-Trade has the right to demand a 100% prepayment of the ordered Products from the Buyer. You-Trade has the right to refuse the Buyer to place an Order and deliver the Products without such payment.
5. You-Trade has the right not to deliver the Products to the Buyer "to the door", including without a 100% prepayment of the ordered Products, to the address specified when the Buyer placed the order, and transfer the Products by delivery to the Pickup Point specified by the Buyer.
6. Cancel the Order with a non-cash payment method within 24 hours from registration in case of non-receipt of payment.
7. Limit the quantity of the Products delivered to the Buyer simultaneously.
8. Use "cookies" technology. The You-Trade collects, processes and transfers cookies according to the Privacy Policy.
9. Send the Buyer messages of an advertising and informational nature through email and SMS -mailings with information about discounts, promotions, new arrivals, etc. The frequency of mailings is determined by You-Trade independently and unilaterally.
10. Cancel the Buyer’s Order in the Online Store by sole decision.
11. Make restrictions on the number of ordered Products for one day of delivery.
12. Change the terms of the Promotions posted on the website of the Online Store https://you-trade.co, unilaterally without the consent of the Buyer, by posting such changes on the website of the Online Store https://you-trade.co
13. When delivering a prepaid order, require the Buyer to receive an order receipt code reflected in the Buyer's personal account or a QR code from the Buyer's mobile application. If the Buyer does not present the specified code or QR code, refuse to issue the Products to the Buyer.
14. The withdrawal of this Public Offer can be carried out by You-Trade at any time, but this is not a basis for waiving You-Trade's obligations under agreements already concluded on the website of the Online Store.
3. The Buyer undertakes:
1. Before the conclusion of the Agreement, familiarise yourself with the content and terms of this Public Offer, the prices for the Products offered on the website of the Online Store, as well as the procedure and conditions for the provision of You-Trade Products delivery services.
2. To fulfil You-Trade's obligations to the Buyer, the latter must provide all the necessary data that uniquely identifies him/her/they as the Buyer and is sufficient to deliver the Products he/she/they paid for to the Buyer.
3. Pay for the ordered Products and their delivery in accordance with the terms of this Offer.
4. Do not use the Products ordered in the Online Store for purposes prohibited by law.
5. Be solely responsible for access to your personal account. Undertakes not to transfer access to the Buyer’s personal account to third parties, and is also responsible for the bank card data entered, agrees to their storage and processing. The Buyer guarantees that all the data of bank cards and/or other means of payment entered by the Buyer in his/her/their personal account belongs to him/her/them and/or disposes of them legally. The Buyer is responsible for the damage caused to You-Trade and any third parties if the damage is caused due to the misuse of the personal account, means of payment, bank cards, and other methods of payment through the personal account.
6. Comply with the rules of sale.
7. Continuing to use the Personal Account, designed on the site https://you-trade.co from the Owner of the Aggregator You-Trade Global Pte Ltd (91 Kellock Road, Melrose Park, Singapore 248903), including to place orders or view previous orders, the Buyer agrees to the transfer of his personal data to our affiliates and related legal entities and/or other affiliates and related parties.
8. To provide customer service, the Buyer agrees to the transfer of his/her/their Personal Account data and processing on behalf of You-Trade to You-Trade Global Pte Ltd (91 Kellock Road #06-02, Melrose Park, Singapore 248903), namely the phone number, full name, company name indicated in the Personal Account and order data, until the objectives of the order are achieved.
4. The buyer has the right:
1. The Buyer has the right to refuse to receive email and SMS -mailings; for this, he/she/they need to click on the link in the letter "You can unsubscribe from the mailing list from your Personal Account" or go to the "Subscriptions" page in the Personal Account.

Delivery and return of the Products

1. Delivery of any Products purchased by the Buyer on the website of the Online Store is carried out by You-Trade or third parties engaged by You-Trade to deliver the Products.
2. Delivery of the Products to the Buyer is carried out on the terms outlined in these Rules and within the period of time automatically determined by the system when placing an order, which is indicative and can be increased if circumstances arise that do not allow delivery of the Products within such a period. If a reasonable time for the delivery of the Products is exceeded, the Buyer can refuse the Products in the Personal Account. If the Buyer, upon delivery of the Products to the place specified by the Buyer, does not receive the order within the storage period specified in the Personal Account, You-Trade has the right to cancel the order without additional informing the Buyer. If the Order is prepaid, the funds are returned to the Buyer within the period established by the law of your jurisdiction and these Terms (through a personal wallet).
3. If obvious defects are found in the Products in the presence of a You-Trade representative, the Buyer has the right to refuse such Products upon receipt.
4. Claims for the quantity, completeness, weight, type and other properties of the Products are not accepted after receiving the Order and checking the Products, taking into account the provisions of the Public Offer, as well as in cases where the Buyer, during the inspection and receipt of the Products, did not promptly report the existence of the listed claims regarding the Products, or did not exercise his/her/their right to file such a claim in a timely manner, or refused to check the Products in the presence of a You-Trade representative.
5. The Products are delivered to the Buyer at the place specified by the Buyer. As the place of delivery, the Buyer may indicate the address of the Pickup Point or another address, in which case the delivery of the Products is carried out "to the door”.
6. Delivery "to the door" can be carried out to the address specified by the Buyer in the Order. The Buyer can indicate only the existing address assigned to the building. Delivery when specifying a non-existent address is not carried out. Transfer of the Order can be carried out only on the premises.
7. Checking and trying on the ordered Products are made in no more than 24 hours. Checking and trying on the ordered Products at the Points of issue of orders is not limited in time.
8. The terms of shipment of the Products from certain ones will be defined in the shipping documents and in your account on our Website.
9. Delivery "to the door":
• Ordered items arrive in their original packaging and a transparent bag. Delivery of the order is carried out in a shipping box.
• In the presence of the person making the delivery, the Buyer may open the packaging and check the Products for integrity, absence of marriage and correctness of the investment.
10. Delivery to the point of issue of the order:
• Ordered items arrive in their original packaging and a transparent bag.
• At the time of receipt of the order, the Buyer may, in the presence of a You-Trade representative at the Pickup Point, open the packaging and check the Products for integrity, absence of marriage and correctness of the investment.
• The Products received at the point of issue of orders are issued at a time, regardless of the date of issue and their storage period.
11. If the Buyer refuses the Products, the Seller must return the amount to him/her/them no later than 7 (seven) days from the date of the Products' return and the corresponding demand's presentation. The amount paid by the Buyer is subject to return, except for the costs of You-Trade for the delivery of the returned Products from the Buyer.
12. The return of the Products is carried out at the Buyer's choice by calling the delivery person at the address specified by the Buyer or by direct delivery of the returned Products at the Pickup Point for delivery to You-Trade.
13. In case of failure to reach an agreement during the consideration of the claim, disputes will be resolved in court in accordance with the current legislation of applicable jurisdiction.
14. If the Buyer does not pick up the order delivered to the specified address and after receiving notification of the expiration of the storage period, such an order is cancelled as unclaimed. 
15. If the Buyer refuses the Products at the time of receipt or the order is cancelled as unclaimed, the amount paid by the Buyer is refundable, except for the delivery cost from the consumer of the returned Products. The Buyer agrees with the right of You-Trade to withhold funds for the delivery of the returned Products (the cost of delivery is indicated in the basket when placing the order, as well as in the "delivery" section of the personal account), including debiting these funds from the Buyer's linked bank card, if the payment method was chosen upon receipt using a bank card and the consumer refused the delivered Products or the Products became unclaimed. Money for the delivery service from the consumer of the returned Products is non-refundable. Information about the shelf life of the order is indicated in the Buyer's Personal Account.
16. If, for any reason, the funds for the delivery service were not debited (the Buyer removes the bank card data from the personal account, etc.), You-Trade reserves the right to debit the funds according to the available payment data or to limit the functionality of the Buyer in the personal account, as well as the right to act in accordance with the civil law procedures provided for by the current legislation, including in court.
17. The Buyer agrees that the Seller's delivery costs are equal to and limited to the amounts specified in clause 9.14. of this Public Offer.
18. Upon delivery of a prepaid order, the order is issued only if the Buyer presents the code for receiving the order, reflected in the Buyer's personal account or a QR code from the Buyer's mobile application. If the Buyer fails to present the specified code or QR code, the order is not issued to the Buyer.
19. Calling a courier service to return the Products to the Seller is paid for and indicated in the "Basket" in the Buyer’s account on the Online Store.
20. When ordering the Products by the Buyer on the terms of delivery, the Seller will make every effort to comply with the delivery time of the Products indicated on the website of the Online Store or agreed with the Buyer after placing the order, while not excluding the reasons that may arise and affect the delivery time in the form of unforeseen events and circumstances, occurred through no fault of the Seller.

Prohibited Uses

1. As a condition of your use of the Online Store, you will not use our Services for any purpose that is unlawful or prohibited by these Terms. You may not use the Services or the Online Store in any manner that could damage, disable, overburden, disrupt or impair any of our servers or APIs, any networks connected to any of our servers or APIs, or that could interfere with any other party's use and enjoyment of the Services or the Online Store.
2. You may not transmit viruses, worms, defects, trojan horses, or any items of a destructive nature using the Online Store. 
3. You may not exceed or circumvent, or try to exceed or circumvent, limitations on the Online Store, including on any API calls, or otherwise use the Online Store in a manner that violates any of our documentation or user manuals. 
4. You and/or any other third parties may not attempt to gain unauthorised access to any websites, other accounts, computer systems, or networks connected to any of our servers or the Online Store through hacking, password mining, or any other means.
5. You and/or any other third parties may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Online Store.
6. You and/or any other third parties may not use the Online Store in any way that violates any applicable state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the European Union, or other countries and intellectual property rights according to the EUCD.

Indemnity

1. You agree to be responsible for using the Services and the Online Store, and you agree to defend, indemnify, and hold harmless You-Trade and its officers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with 

• your access to, use of, or alleged use of the Online Store; 
• your violation of these Terms or any representation, warranty, or agreements referenced herein or any applicable law or regulation; 
• your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; and/or 
• any disputes or issues between you and any third party. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you (and without limiting your indemnification obligations concerning such matter), and in such case, you agree to cooperate with our defence of the such claim.

Disclaimers, no warranties

1. The Online Store is made available to you on an "as is” and "as available” basis, with the express understanding that we have no obligation to monitor, control, or vet the content or data appearing on the website of the Online Store.
2. You use the Online Store and our Services at your discretion and risk, taking full responsibility for your safety and the safety of your payment information.
3. We make no claims or promises about the product's quality, accuracy, or reliability and expressly disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
4. We reserve the right to modify these Terms at any time. Revised versions of these Terms will be posted within the Online Store. Unless otherwise specified, any modifications to the Terms will take effect the day they are posted within the Online Store. 
5. We are not obliged to inform you about changes in these Terms.
6. If you disagree with the revised Terms, your sole and exclusive remedy will be discontinuing your use of the Product.
7. Use of section headers in these Terms is for convenience only and will not impact the interpretation of provisions.
8. You have no rights to assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. 
9. The failure to require performance of any provision will not affect our right to require performance at any time thereafter, nor will a waiver of any breach or default of this Terms or any provision of this Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself.
10. If any part of this Terms is held invalid or unenforceable, the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
11. If you disagree with these Terms, you must not access or use the Services and the Online Store.

Limitation of liability

1. In any case, we will not be liable to you or any third party for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your access to or use of, or your inability to access or use, the Online Store or any materials or the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, whether or not we have been informed about of the possibility of such damage.
2. We, in any case, are not responsible for services provided to you by the third party promoted on the website of the Online Store.
3. All risks related to your information, account, or accounts on other sources if you shared your data are not a part of our responsibility.
4. You accept responsibility for using the Online Store and all results of its usage.

Force Majeure

1. You-Trade is released from liability for full or partial failure to fulfil its obligations in accordance with these Terms if this failure was caused by force majeure circumstances that arose after the Buyer accepted the terms of these Rules. "Force Majeure" means extraordinary events or circumstances that could not have been foreseen or prevented by available means. Such extraordinary events or circumstances include, but are not limited to: strikes, floods, fires, earthquakes and other natural disasters, international sanctions, wars, hostilities, acts of government or foreign government agencies, and any other circumstances beyond reasonable control.
